CoinAuto Terms of Use

1. Our Services: Global Automotive Sourcing

CoinAuto provides an international automotive sourcing and logistics platform that allows users to browse, inquire about, and purchase vehicles sourced from multiple countries. Our Services may include, but are not limited to, vehicle listing access, buyer inquiry support, international purchase coordination, shipping quotation assistance, export coordination, and related support services.

CoinAuto may permit authorized business sellers, dealers, exporters, or other approved commercial vehicle providers to list vehicles on the website. These sellers are responsible for the descriptions, specifications, condition statements, photographs, videos, documents, mileage, history, availability, pricing, and other information they provide in connection with their vehicle listings.

While CoinAuto may review, organize, display, or communicate seller-provided information through the Services, you acknowledge and agree that CoinAuto does not independently verify all listing information before it is displayed or shared. Accordingly, CoinAuto makes no representation or warranty that any seller-provided information is complete, accurate, current, reliable, or free from error. Vehicle availability, condition, specifications, documentation, and pricing may change or may differ from the information shown on the website or otherwise provided to you.

CoinAuto's Services are intended to facilitate international vehicle sourcing, purchase coordination, and logistics support. CoinAuto is not responsible for ensuring that any vehicle satisfies your subjective expectations, local import requirements, roadworthiness standards, emissions requirements, registration rules, safety standards, or other legal or regulatory requirements in your jurisdiction. Before acquiring any vehicle, you are responsible for conducting your own due diligence and determining whether the vehicle is suitable for your needs and eligible for import, registration, and lawful use in your country, region, or city.

Purchase Flow

The general purchase process is as follows:

Third-Party Inspection

After your deposit is paid, CoinAuto will arrange a third-party inspection of the vehicle at no additional inspection charge to you. Once the inspection is completed, CoinAuto will provide the inspection report to you for review.

If, for any reason, you are not satisfied with the inspection report, you may request a refund of your deposit within five (5) days after receiving the inspection report. If a timely refund request is made, CoinAuto will refund the deposit paid by you, less any fees charged by the bank, payment processor, payment method provider, or other financial intermediary used in connection with the transaction.

If you do not request a refund within the five-day review period, or if you proceed with the transaction after receiving the inspection report, you will be deemed to have accepted the inspection report for purposes of continuing the purchase process.

2. Changes to these Terms

We are constantly trying to improve our Services, so these Terms may need to change along with our Services. We reserve the right to change the Terms at any time. If we do, we will place a notice on our site, send you an email, or notify you by other means. If you use the Services in any way after a change to the Terms is effective, that means you agree to all of the changes.

3. Privacy and Children's Data

CoinAuto takes the privacy of its users very seriously. Please review our Privacy Policy for current information. In compliance with the Children's Online Privacy Protection Act (COPPA), we do not knowingly collect or solicit personally identifiable information from children under thirteen (13). If you are a child under thirteen, please do not attempt to register for or otherwise use the Services. If we learn we have collected personal information from a child under thirteen, we will delete that information as quickly as possible.

4. Account Registration and Eligibility

You may be required to sign up for an account, select a password and user name, and provide us with accurate, complete, and updated registration information. You may not select a user name that you do not have the right to use or impersonate another person, and you may not transfer your account without our prior written permission.

You represent and warrant that you are an individual of legal age to form a binding contract. If you are agreeing to these Terms on behalf of an organization or entity, you represent and warrant that you are authorized to agree to these Terms on that organization's behalf and bind them to these Terms. You will protect the security of your account, password, and any other access tools, and you are solely responsible for any activity associated with your account.

5. Prohibited Conduct and Restrictions

You represent, warrant, and agree that you will not contribute any Content or use the Services in a manner that:

• Infringes or violates the intellectual property rights or any other rights of anyone else (including CoinAuto).
• Violates any law or regulation, including applicable export control laws or privacy laws.
• Is dangerous, harmful, fraudulent, deceptive, threatening, harassing, defamatory, or obscene.
• Jeopardizes the security of your account or anyone else's.
• Attempts to obtain the password, account, or other security information from any other user.
• Violates the security of any computer network, or cracks any passwords or security encryption codes.
• Runs any form of auto-responder or "spam" on the Services, or places an unreasonable load on the Services' infrastructure.
• "Crawls," "scrapes," or "spiders" any page, data, or portion of the Services (through manual or automated means).
• Copies or stores any significant portion of the Content.
• Decompiles, reverse engineers, or attempts to obtain the source code or underlying ideas of the Services.

A violation of any of the foregoing is grounds for the immediate termination of your right to use or access the Services. Furthermore, you must securely handle and promptly destroy any User Information collected from others once your transaction concludes.

6. Intellectual Property Rights

The materials displayed on the Services, including text, graphics, data, articles, photos, images, and illustrations (the "Content") are protected by copyright and other intellectual property laws. You won't use, copy, reproduce, modify, translate, publish, broadcast, transmit, distribute, perform, upload, display, license, sell, or commercialize any Content not owned by you without prior consent.

Subject to these Terms, we grant you a worldwide, non-exclusive, non-sublicensable, and non-transferable license to use the Content solely for purposes of using the Services for your personal, internal use.

7. User Submissions and Licenses

Anything you post, upload, share, or store through the Services is your "User Submission". You are solely responsible for all User Submissions and represent they are accurate, complete, and do not infringe on any third party's rights. You agree not to post content that is sexually explicit, hateful, defamatory, promotes fraudulent schemes, or violates any law.

By submitting User Submissions, you grant CoinAuto a worldwide, non-exclusive, perpetual, royalty-free, fully paid, sublicensable, and transferable license to use, edit, modify, reproduce, distribute, prepare derivative works of, display, and perform the User Submissions in connection with operating our business in any media formats. You also grant other users a non-exclusive license to access your User Submissions through the Services.

8. Copyright Infringement (DMCA Policy)

If you believe that material residing on or accessible through the Services infringes your copyright, please send a notice of copyright infringement to our Designated Agent:

Your notice must include:

• A physical or electronic signature of a person authorized to act on behalf of the copyright owner.
• Identification of the works being infringed and the specific location on the Services.
• Your contact information (address, telephone number, email).
• A statement of good faith belief that the use is unauthorized.
• A statement made under penalty of perjury that the information is accurate and you are authorized to make the complaint.

We reserve the right to remove or disable access to the infringing material and terminate access for repeat offenders. Users whose content is removed may submit a formal counter-notice to our Designated Agent containing their physical/electronic signature, identification of the removed material, a good-faith statement of mistake or misidentification, and consent to federal court jurisdiction.

9. Third-Party Links and Services

The Services may contain links to third-party websites or services that are not owned or controlled by CoinAuto. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites. You release and hold us harmless from any liability arising from your use of any third-party website or service.

If there is a dispute between users, or between users and any third party, you agree that CoinAuto is under no obligation to become involved. You release CoinAuto and its officers from claims, demands, and damages of every kind arising out of such disputes.

10. Payments, Fees, and Taxes

While it is free to register for the Services, purchasing a vehicle or arranging shipping requires the payment of deposits, vehicle costs, and transportation fees. You must pay all fees associated with our Services by the payment due date.

When you place an order to reserve a globally sourced vehicle, our team will collect your deposit securely via email. All deposit payments and subsequent vehicle payments must be completed according to the specific invoice and confirmation provided by our team.

Taxes: You will be responsible for paying, withholding, filing, and reporting all taxes, duties, import tariffs, and other governmental assessments associated with purchasing and importing a vehicle internationally.

11. Warranty Disclaimer

THE SERVICES AND CONTENT ARE PROVIDED BY COINAUTO ON AN "AS-IS" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT USE OF THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.

COINAUTO MAKES NO REPRESENTATIONS OR WARRANTIES REGARDING ANY CAR SOURCED THROUGH THE SERVICE. VEHICLES ARE PROVIDED "AS-IS" AND WE DISCLAIM ANY RESPONSIBILITY OR LIABILITY FOR THE CONDITION OF QUALITY, FITNESS FOR A PARTICULAR PURPOSE, OR COMPLIANCE WITH ANY LAW, REGULATION, OR CODE IN YOUR JURISDICTION.

12. Limitation of Liability

TO THE FULLEST EXTENT ALLOWED BY APPLICABLE LAW, UNDER NO CIRCUMSTANCES AND UNDER NO LEGAL THEORY (INCLUDING TORT, CONTRACT, STRICT LIABILITY, OR OTHERWISE) SHALL COINAUTO OR ITS AFFILIATES BE LIABLE TO YOU FOR:(A) ANY INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING DAMAGES FOR LOST PROFITS, BUSINESS INTERRUPTION, LOSS OF DATA, OR LOSS OF GOODWILL;(B) ANY SUBSTITUTE GOODS, SERVICES OR TECHNOLOGY;(C) ANY AMOUNT, IN THE AGGREGATE, IN EXCESS OF THE GREATER OF (I) ONE-HUNDRED ($100) DOLLARS OR (II) THE AMOUNTS PAID BY YOU TO COINAUTO IN CONNECTION WITH THE SERVICES IN THE TWELVE (12) MONTH PERIOD PRECEDING THE CLAIM; OR(D) ANY MATTER BEYOND OUR REASONABLE CONTROL.

13. Indemnity

You agree to indemnify and hold CoinAuto, its parent, subsidiaries, affiliates, officers, directors, and employees harmless from and against any and all claims, liabilities, damages, losses, and expenses (including attorneys' fees) arising from or in any way related to (a) your use of the Services, and (b) your violation of these Terms.

14. Arbitration Agreement and Dispute Resolution

Please read this section carefully because it requires you to arbitrate certain disputes and limits the manner in which you can seek relief.

• Good-Faith Negotiations: The parties shall use best efforts to settle any dispute or claim directly through good-faith negotiations before initiating arbitration.
• Arbitration Rules: If negotiations fail, disputes shall be referred to and finally resolved by arbitration administered by the Hong Kong International Arbitration Centre in accordance with the Arbitration Rules of the Hong Kong International Arbitration Centre for the time being in force, which rules are deemed to be incorporated by reference in this Clause. This arbitration agreement shall be governed by Hong Kong law. The seat of the arbitration shall be One. The Tribunal shall consist of one arbitrator. The language of the arbitration shall be English. The award shall be final and binding on the Parties. Judgment upon the award may be entered by any court having jurisdiction thereof or having jurisdiction over the relevant Party or its assets.
• Waiver of Jury Trial: YOU AND COINAUTO WAIVE ANY CONSTITUTIONAL AND STATUTORY RIGHTS TO GO TO COURT AND HAVE A TRIAL IN FRONT OF A JUDGE OR JURY.
• Waiver of Class Actions: ALL CLAIMS AND DISPUTES MUST BE ARBITRATED OR LITIGATED ON AN INDIVIDUAL BASIS AND NOT ON A CLASS BASIS. CLAIMS OF MORE THAN ONE CUSTOMER CANNOT BE ARBITRATED OR LITIGATED JOINTLY.
• Opt-Out Right: You have the right to opt out of this arbitration agreement by sending written notice of your decision to opt out to Company Email Address within thirty (30) days of first accepting these Terms. Your notice must include your name, address, email/phone associated with the account, and a clear statement of opt-out.
• Exclusive Venue: If you opt out, or if a dispute is permitted to be litigated in court, both parties agree that any judicial proceeding will be brought exclusively in Hong Kong SAR.

15. Miscellaneous

• Assignment: You may not assign, delegate or transfer these Terms or your rights without our prior written consent. We may transfer or assign these Terms without consent.
• Choice of Law: These Terms are governed by and construed under applicable laws of Hong Kong SAR, without regard to conflicts of laws provisions.
• Severability & Waiver: If any provision of these Terms is found to be unenforceable, that provision will be limited or eliminated to the minimum extent necessary. The failure to exercise any right shall not be deemed a waiver of any further rights.
• Entire Agreement: These Terms are the complete and exclusive statement of the mutual understanding between you and CoinAuto, and supersede and cancel all previous written and oral agreements relating to the subject matter. You acknowledge that you are not an employee, agent, partner, or joint venture of CoinAuto.
